These Terms of Use (the “Terms”) govern your access to and use of Orientr (the “Product”), including any Open Alpha (Early Access) versions.

Orientr is published by ImagiScapes Inc. d/b/a VentR-Out (“VentR-Out,” “we,” “us,” or “our”).

By checking the acceptance box, purchasing, downloading, accessing, or using the Product, you agree to these Terms. If you do not agree, do not use the Product.

1. Open Alpha (Early Access) Status

You understand and agree that the Product is being made available as an Open Alpha (Early Access) version for testing and evaluation (the “Open Alpha”).

The Product is not a final release and may:

  • contain bugs, errors, crashes, or missing features;

  • change substantially over time;

  • be interrupted or unavailable;

  • be modified, suspended, or discontinued at any time.

You acknowledge that VentR-Out is using the Open Alpha to evaluate product usability, technical performance, user experience, and market viability, including to inform decisions about future development (including whether to continue, change, or discontinue the Product).

2. Paid Access and License

If applicable, you are paying a one-time fee (currently $10 USD) for a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Product during the Open Alpha, subject to these Terms and any applicable platform terms (including Meta platform terms).  This Early Access price is not indicative of final release pricing, which may be higher. Pricing is subject to change for future purchases without prior notice.

You are not purchasing ownership of the Product or any intellectual property rights in the Product.

Refunds

Purchases and refunds are generally handled through the platform from which you obtained the Product (for example, the Meta Horizon Store) and may be subject to that platform’s refund policies and procedures.

3. Eligibility and Age Requirements

You represent and warrant that:

You are at least 13 years old (or older if required by local law) to use the Product.

If you are under 18, you represent that a parent or guardian consents to your use of the Product, accepts these Terms on your behalf, and agrees to be responsible for your compliance.

You also agree not to provide false, inaccurate, or misleading information.

4. VR Safety and Assumption of Risk

The Product is a virtual reality experience. You understand that VR use may involve risks, including:

  • Dizziness,

  • Nausea,

  • Motion sickness,

  • Disorientation,

  • Eye strain,

  • Fatigue,

  • Collisions with people or objects,

  • Loss of balance, falls, or other physical injury.

You agree to:

  • Use the Product only in a safe, clear play area;

  • Follow all platform/device safety instructions;

  • Stop using the Product immediately if you experience discomfort or adverse symptoms;

  • Not use the Product while driving, walking outdoors, operating machinery, or in any unsafe environment.

To the maximum extent permitted by law, you voluntarily assume all risks arising from your use of the Product and participation in the Open Alpha.

5. Data Collection, Telemetry, and Privacy

By using the Product, you understand that VentR-Out may collect and use information related to your use of the Product, including gameplay telemetry, device information, diagnostics, crash logs, and feedback, for purposes such as:

  • Product improvement,

  • Debugging and performance monitoring,

  • User experience research,

  • Business analysis,

  • And open alpha evaluation.

By using the Product, you acknowledge that you have read the Privacy Policy.

6. Ownership and Intellectual Property

The Product, including all software, code, content, graphics, branding, gameplay systems, designs, features, and related materials, is and remains the exclusive property of VentR-Out and/or its licensors, and is protected by intellectual property laws.

Except for the limited license granted in these Terms, no right, title, or interest in the Product is transferred to you.

7. Restrictions on Use.

You agree that you will not, and will not permit any third party to:

  • Copy, reproduce, distribute, publish, or publicly display the Product, except as expressly permitted;

  • Sell, lease, sublicense, transfer, or otherwise commercialize the Product;

  • Reverse engineer, decompile, disassemble, or attempt to derive source code, underlying ideas, or trade secrets from the Product, except to the extent such restriction is prohibited by law;

  • Circumvent or attempt to circumvent security, entitlement, access controls, or technical protections;

  • Use cheats, bots, exploits, or unauthorized modifications;

  • Use the Product in violation of applicable law or platform rules.

8. Public Sharing; Confidentiality of Non-Public Information

Because this is an Open Alpha, VentR-Out may permit users to publicly share gameplay footage, screenshots, video clips, and general impressions of the Product, including through streaming platforms, social media, and community forums, unless VentR-Out states otherwise in writing for specific content or builds.

However, you may be exposed to non-public information regarding the Product, including unreleased features, test builds, roadmap information, developer communications, access keys, or other materials not intended for public disclosure (“Confidential Information”). You agree to:

  • Keep Confidential Information confidential;

  • Not disclose Confidential Information to third parties without ventr-Out’s prior written consent;

  • Not use Confidential Information for any purpose other than participating in the Open Alpha.

This confidentiality obligation continues for five (5) years from the date of disclosure.

9. Feedback

If you provide any comments, suggestions, ideas, bug reports, test results, or other feedback regarding the Product (“Feedback”), you grant VentR-Out a perpetual, irrevocable, worldwide, transferable, sublicensable, royalty-free, fully paid-up license to use, reproduce, modify, adapt, publish, distribute, commercialize, and otherwise exploit such Feedback for any purpose, without compensation, notice, or attribution to you.

10. Community Content

If you publicly post or share gameplay clips, screenshots, streams, or other content featuring the Product and tag VentR-Out, Orientr, or otherwise identify the Product, you grant VentR-Out a non-exclusive, worldwide, royalty-free license to repost, reshare, and display that content for promotional, community, and marketing purposes, with attribution where reasonably practicable.

11. Acceptable Behavior

You agree to use the Product in a lawful, respectful, and safe manner. You may not:

  • Harass, threaten, bully, or abuse others;

  • Engage in hateful, discriminatory, or unlawful conduct;

  • Share offensive, obscene, or inappropriate content;

  • Impersonate others or misrepresent your identity;

  • Infringe another person’s intellectual property or legal rights;

  • Disrupt gameplay, testing, or the experience of other users.

We may suspend or terminate access for violations of these Terms or platform rules.

12. Suspension and Termination

VentR-Out may, at any time and in its sole discretion, with or without notice:

  • Suspend, restrict, or terminate your access to the Product;

  • Remove you from the Open Alpha;

  • Modify or discontinue any feature or the Product itself.

Reasons may include, without limitation:

  • Breach of these Terms,

  • Misconduct,

  • Platform compliance issues,

  • Security concerns,

  • Or product/business decisions.

Upon termination, your license to use the Product ends immediately.  VentR-Out will handle your personal information as described in the Privacy Policy.

13. No Warranty

To the maximum extent permitted by law, the product is provided “as is” and “as available”, without warranties of any kind, express or implied, including warranties of:

  • Merchantability,

  • Fitness for a particular purpose,

  • Non-infringement,

  • Title,

  • Quiet enjoyment,

  • Or that the product will be uninterrupted, error-free, or secure.

VentR-Out does not guarantee compatibility with your device, headset, operating system, or account.

14. Limitation of Liability

to the maximum extent permitted by law, ventr-out and its officers, directors, employees, contractors, affiliates, and licensors will not be liable for any:

  • Indirect,

  • Incidental,

  • Special,

  • Consequential,

  • Exemplary,

  • Or punitive damages,

or any loss of profits, revenue, goodwill, data, or business interruption, arising out of or related to your use of (or inability to use) the Product or participation in the Open Alpha, even if advised of the possibility of such damages.

To the maximum extent permitted by law, ventr-out’s total liability for all claims arising out of or relating to the product or these terms will not exceed the amount you paid for the product (if any) in the twelve (12) months before the claim arose.

15. Release

To the maximum extent permitted by law, you release and discharge VentR-Out and its officers, directors, employees, contractors, affiliates, and licensors from claims arising out of or related to your participation in the Open Alpha or use of the Product, except to the extent caused by gross negligence, willful misconduct, or liabilities that cannot be waived under applicable law.

16. Indemnification

You agree to defend, indemnify, and hold harmless VentR-Out and its officers, directors, employees, contractors, affiliates, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your misuse of the Product;

  • Your violation of these Terms;

  • Your violation of any law or the rights of any third party.

17. Third-Party Platforms and Services

The Product may be distributed through or interact with third-party platforms and services (including Meta). Your use of those platforms and services is governed by their own terms and policies.

VentR-Out is not responsible for third-party platforms, services, or content.

18. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to them or the Product are governed by the laws of the State of Florida, without regard to conflict of laws principles.

Before initiating any formal legal proceeding, you agree to first contact VentR-Out in writing at support@ventrout.com and provide a brief description of the dispute and the relief sought. VentR-Out will attempt to resolve the dispute informally within 30 days of receiving your notice. If the dispute is not resolved within that 30-day period, either party may pursue formal legal proceedings.

19. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the “Last Updated” date and may provide additional notice where appropriate.

By continuing to use the Product after updated Terms become effective, you agree to the revised Terms.

20. General Provisions

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.

These Terms, together with the Privacy Policy and any applicable platform terms, constitute the entire agreement between you and VentR-Out regarding the Product and supersede prior or contemporaneous understandings relating to the same subject matter.

No waiver of any provision is a further or continuing waiver of that provision or any other provision.
